InstantPower Terms and Conditions of Service
Welcome to InstantPower. These Terms of Use ("Terms", "Agreement") govern your access to and use of the InstantPower platform, including our website located at https://instantpower.com.ng, our web portal at https://app.instantpower.com.ng, and our mobile applications for iOS and Android (collectively, the "Platform" or "Services").
The Platform is owned and operated by Advance Systems Infrastructure Limited ("InstantPower", "the Company", "we", "us", or "our"), a company incorporated under the laws of the Federal Republic of Nigeria with RC Number 7371893.
By accessing our website, registering an account, purchasing utility tokens, or downloading and using our mobile applications, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must immediately cease all access and use of the Services.
1. Eligibility and Account Registration
To use the Services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under Nigerian law.
- Account Accuracy: When you create an account, you agree to provide true, accurate, current, and complete registration information (including your legal name, email address, phone number, and valid meter numbers) and to maintain and update such information promptly.
- Authentication via Third Parties (Google Sign-In): You may choose to sign up or log in using third-party single sign-on services, such as Google Sign-In. You authorize InstantPower to access and collect your basic Google profile information (name, email address, profile picture, and Google user ID) in accordance with our Privacy Policy and Google's API Services User Data Policy.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials, passwords, and two-factor authentication codes. You accept full responsibility for all activities that occur under your account. You must notify us immediately at support@instantpower.com.ng if you suspect unauthorized access or any security breach.
2. Electricity Bill Payments and Utility Vending
InstantPower acts as an authorized aggregator and utility vending interface partnering with licensed Nigerian Electricity Distribution Companies (DISCOs), including AEDC, EKEDC, IBEDC, IKEDC, JED, KAEDCO, KEDCO, PHED, EEDC, BEDC, and others.
- Meter Verification: You are strictly responsible for entering the correct meter number and selecting the corresponding DISCO. Before confirming any payment, our Platform provides a verification step displaying the registered meter name and address. InstantPower is not liable for tokens generated for an incorrect meter number provided by the user.
- Currency & Pricing: All transactions are conducted in Nigerian Naira (NGN / ₦) in compliance with the Central Bank of Nigeria regulations.
- Service Fees & Convenience Charges: Electricity token purchases may attract a standard convenience fee (typically ₦100 per transaction) or applicable processing fees as clearly displayed on the checkout summary prior to payment confirmation.
- DISCO Tariffs & Government Taxes: Electricity unit tariffs, Value Added Tax (VAT), and any statutory levies are mandated and regulated by the Nigerian Electricity Regulatory Commission (NERC) and the Federal Government of Nigeria. InstantPower does not determine unit tariffs or kWh allocations.
- Token Delivery: Upon successful payment confirmation from our payment processor and token generation by the DISCO, your electricity token will be delivered instantaneously on-screen, via SMS to your registered phone number, and via email. InstantPower will make every commercially reasonable effort to ensure instant delivery.
3. Failed Transactions, Refunds, and Dispute Resolution
Utility token generation is executed in real-time through interconnected banking networks and electricity distribution systems:
- Failed Transactions with Debits: If your bank account or card is debited but an electricity token is not generated due to network downtime or DISCO server timeouts, our automated settlement engine will re-query the status. If the transaction cannot be fulfilled, the debited amount is either credited to your InstantPower wallet or automatically reversed back to your bank account within your financial institution's standard settlement window (typically 24 to 72 hours).
- Finality of Generated Tokens: Once an electricity token has been successfully generated for a valid meter number, the purchase is final and non-refundable. Tokens are hardcoded to specific physical meter hardware and cannot be revoked, transferred, or returned once issued by the DISCO.
- Debt Recovery by DISCOs: For postpaid bill settlements or prepaid meters with existing outstanding debt or migration arrears, the DISCO may deduct statutory percentages from the recharge value in accordance with NERC debt-recovery regulations. InstantPower does not deduct or control these arrears.
- Customer Support Assistance: If you experience any delay or discrepancy, contact our support team immediately at support@instantpower.com.ng or call 08029447040 with your transaction reference and meter number.
4. Intellectual Property Rights
The InstantPower platform, brand names, logos, software code, user interfaces, designs, visual assets, text, and database rights are the exclusive intellectual property of Advance Systems Infrastructure Limited or its licensors.
You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your personal or authorized internal business purposes. You agree not to copy, modify, distribute, reverse-engineer, decompile, extract source code, or create derivative works based upon any part of our Platform or trademarks without our express prior written consent.
5. Prohibited Conduct and System Integrity
You agree that you will not use the Services for any unlawful, fraudulent, or abusive purpose, including but not limited to:
- Using stolen credit/debit cards, fraudulent bank accounts, or proceeds of criminal activity to purchase utility units.
- Violating the Central Bank of Nigeria AML/CFT guidelines or attempting to launder funds through utility token vending.
- Interfering with, disrupting, or attempting to compromise the security, servers, or network integrity of our Platform or API endpoints.
- Using automated bots, scrapers, crawlers, or unauthorized scripts to extract data or automate purchases on our Services.
- Impersonating any individual, company, or representative of InstantPower.
6. Third-Party Services and Links
Our Services integrate with third-party providers, such as licensed payment gateways (e.g. Paystack) and electricity distribution company servers. We are not responsible for the availability, terms, or privacy practices of such external third-party services. Your interactions with third-party payment gateways are governed by their respective terms of service and privacy policies.
7. Disclaimers and Limitation of Liability
The Platform and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
While InstantPower uses industry-grade infrastructure to maintain 24/7 availability, we do not warrant that the Services will be uninterrupted, error-free, or entirely secure. Electricity distribution companies (DISCOs) and interbank networks occasionally experience maintenance windows, downtime, or technical delays beyond our reasonable control.
To the maximum extent permitted by applicable law, in no event shall InstantPower, Advance Systems Infrastructure Limited, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of power supply, or data loss) arising out of or related to your use of or inability to use the Services. In any event, our total aggregate liability to you for any claim arising out of these Terms shall not exceed the amount paid by you in service convenience fees for the transaction giving rise to the claim.
8. Suspension and Termination
We reserve the right to suspend, restrict, or terminate your access to our Platform immediately, without prior notice, if you breach these Terms, engage in suspicious or fraudulent activities, or if required by court order or regulatory directives.
You may terminate your account at any time through your in-app account settings or by sending an account closure request to support@instantpower.com.ng.
9. Governing Law and Dispute Resolution
These Terms and any dispute arising from or related to the Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably through mutual customer service consultations within thirty (30) days shall be subject to the exclusive jurisdiction of the competent courts of the Federal Republic of Nigeria.
10. Modifications to These Terms
We may update or revise these Terms from time to time to reflect changes in our business operations, service enhancements, or regulatory mandates. The "Last Updated" date at the top of this page indicates the effective date of the latest revision. Your continued use of the Platform following the posting of updated Terms constitutes your binding acceptance of those modifications.
